What is a share buyback?▾
A share buyback is when a listed company repurchases its own shares from existing shareholders, either through the tender route (open offer at a fixed price) or by buying on the open market. Buybacks reduce share count, often boost EPS, and signal the company believes its shares are undervalued.
How do I participate in a tender buyback?▾
During the buyback open window, log into your broker app (Zerodha Console, Upstox, Angel One, etc.) and tender the eligible shares from your demat. Shares are then transferred to a separate ISIN until the buyback closes. If your tender is accepted, you receive the buyback price minus taxes.
What is acceptance ratio in a buyback?▾
Acceptance ratio is the percentage of tendered shares that the company actually buys back. If a buyback is oversubscribed, the company applies a pro-rata acceptance — so you may not get the full quantity you tendered. Small shareholders (holding ≤ 2 lakh worth at record date) typically have a higher reserved acceptance ratio.
Is buyback income taxable?▾
From October 2024, buyback proceeds are taxed in the shareholder's hands as deemed dividend at slab rates (previously the company paid a buyback tax). Consult your CA for personal tax planning.
